Terms of Service

1. Acceptance of Terms

By accessing or using idutax (the “Service”), operated by idutax Inc. (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

idutax provides a secure document collection platform for accounting professionals and their clients. The Service enables accountants (“Firm Users”) to request, collect, and manage financial documents from their clients (“Client Users”) through a secure web interface.

3. Account Registration

To use the Service as a Firm User, you must create an account. You agree to provide accurate, current, and complete information and to keep this information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. Fees and Payment

The Service is offered on a subscription basis. Pricing is set forth on our Pricing page. All fees are exclusive of applicable taxes. We reserve the right to modify our pricing with 30 days' notice. Annual subscriptions are non-refundable except where required by applicable law. Monthly subscriptions may be cancelled at any time and will not be renewed.

5. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated by reference. You retain ownership of all data you upload or generate through the Service. We process personal information in accordance with applicable privacy laws including PIPEDA (for Canadian users) and the GLBA Safeguards Rule (for US users).

6. Acceptable Use

You agree not to use the Service to: (a) violate any applicable laws or regulations; (b) upload malicious code or malware; (c) attempt to gain unauthorized access to any systems; (d) use the Service for any purpose other than legitimate document collection and management for accounting or tax purposes; (e) resell or sublicense the Service.

7. Data Security

We implement industry-standard security measures including AES-256 encryption at rest, TLS 1.3 in transit, and role-based access controls. We maintain audit logs of all access events. Security details are available on our Security page.

8. Termination

You may terminate your account at any time. Upon termination, your data will be retained for 30 days to allow for export, after which it will be permanently deleted. We may terminate or suspend your account for violation of these Terms with or without notice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
